عنى هذا البحث بتحديد ماهية الأشخاص المهنيةء والضوابط اللازمة نظامًا لوصفها بتلك الصفة في ضوء الأنظمة ذات الصلةء كأنظمة الإقلاس» والشركات المهنية ولائحة الترخيص البلدي للمهن والحرف» وتأتي أهمية التحديد بعد أن أدخل نظام الإفلاس الجديد المهني في نطاق الفئات التي ينطبق عليها خروجًا على القواعد التقليدية التي كانت تقصره على التاجر فقط؛ لذا ابتدأت الدراسة ببيان المقصود بالمهني في اللغة والاصطلاح؛ء وتمييزه عن غيره مثل الحرفي والصانعء وانتهينا فيه إلى اختلاف الحرفي عن المهنيء وخروجه عن نطاق تطبيق نظام الإفلاسء في حين أن الصانع يختلف عن المهني إلا أنه يدخل في نطاق تطبيق النظامء ثم تتاولنا ضوابط اعتبار الشخص الطبيعي شخصا مهنيًّاء وهي أربعة ضوابط: الأول وجوب ممارسة الشخص الطبيعي عملا مهنيًاء وحددنا مفهوم العمل المهني. والثاني وجوب ممارسة الشخص الطبيعي العمل المهني لحسابه الخاص وبشكل مستقلء ورأينا أن المهني المرتبط بعقد عمل خاص» أو وظيفة حكومية لا يخضع لتطبيق أحكام نظام الإفلاسء والثالث احتراف الشخص الطبيعي العمل المهنيء وبينَا أن ضوابط الاحتراف هي تكرار العمل بشكل مستمر ومنتظم بنية الارتزاق. والرابع وجوب أن يكون الشخص الطبيعي مؤهلا عمليًاء أو علميًاء أو مهارنًاء أو لديه مَلَكَةء وبينًا أن هذه الصفات يجب أن تثبت من خلال جهة أكاديمية أو تدريبية أسند لها النظام سلطة منح ترخيص بمزاولة المهنة. ثم تناولنا ضوابط اعتبار الشخص الاعتباري شخصًّا مهنيًاء وبينًا أنه يجب ثلاثة ضوابط: الأول وجوب أن يكون الشخص الاعتباري شركة مدنية مهنيةء وبينًا أنه ليس كل شركة مدنية مهنيةء ولكن كل شركة مهنية مدنية. والضابط الثاني أن تكون شركة ذات شخصية اعتبارية مستقلةء وبينًا أن الاستقلال يكون من حيث عدم التبعية لشركة أخرىء وإستقلال ذمة الشركة عن ذمم الشركاء. والضابط الثالث وجوب اكتساب المؤسس صفة المهني نظامًا.
