چکیده:
در این مقاله، آثار انحلال عقد منشأ دین بر عقد حواله، با هدف رفع ابهام از قسمت دوم ماده 733 ق.م.، با تأکید بر فقه اسلامی، مورد تجزیه و تحلیل قرار گرفته است. پرسش اصلی این است که آیا با انحلال عقد منشأ دین، حواله نیز منحل میشود یا حواله باقی میماند و تعهدات ناشی از آن باید اجرا گردد؟ در صورت پذیرش هر یک از این دو راهحل، تکلیف ثمنی که مشتری به طور مستقیم یا غیر مستقیم (از طریق محالعلیه) پرداخت نموده است، چه میشود؛ یعنی با انحلال بیع، خریدار برای استرداد ثمن باید به بایع مراجعه کند یا به محتال؟ همچنین، دینی که محالعلیه به خریدار داشته، چه وضعی پیدا میکند و نیز تکلیف ثمنی که محتال أخذ کرده، چه خواهد شد؟ با روش تحقیق توصیفی ـ تحلیلی و با مطالعه گسترده در فقه اسلامی و با تحلیل ماده 733 ق.م.، این نتیجه حاصل شد که انحلال عقد منشأ دین باعث انفساخ حواله نمیشود، بلکه محتال ثمن را از محالعلیه میگیرد و محالعلیهِ مدیون نیز دیگری تعهدی در برابر محیل ندارد؛ مشتری نیز برای استرداد ثمن به بایع مراجعه میکند. البته این حکم اختصاص به عقد بیع ندارد، بلکه هر دینی که در اثر عمل یا واقعه حقوقی ایجاد شود و بر مبنای آن حواله صادر شود و سپس عقد مزبور، منحل و یا دین ساقط شود، احکام پیشگفته اجرا خواهد شد.
In this article, the effects of the "dissolution" of the contract as the origin of debt upon assignment contract have been analyzed with the aim of removing ambiguity from Article 733 civil code, emphasizing on Islamic jurisprudence. The main question here is whether with the dissolution of the contract relating to the origin of debt, the assignment contract is also dissolved or the assignment contract remains valid and the resulting obligations must be fulfilled? If either of these two solutions is accepted, what will happened to the price that the customer has paid directly or indirectly (through the third party assignee); That is, does the buyer, with the dissolution of the contract, have to recourse to the seller or to the assignee for returning the price? Also, what will be the status of the third party assignee's debt to buyer, and also what will be the status of the price received by assignee? With the method of descriptive-analytical research and with extensive study in Islamic jurisprudence and analysis of Article 733 civil code, it was concluded that the dissolution of the contract as the origin of debt does not cause the dissolution of the assignment contract, but the assignee takes the price from the third party assignee and the third party assignee has no obligation with respect to the assignor; The customer also refers to the seller fir returning the price.
