چکیده:
زمینه و هدف: شرکتها بهعنوان یکی از نهادهای حقوقی، نقش مؤثری در پویایی اقتصادی کشورها و جذب سرمایههای داخلی و خارجی دارند؛ اگرچه عرضه سهام توسط ناشران و خرید آنها توسط سهامداران موافق با اصل آزادی اراده طرفین میباشند، اما این آزادی با توجه بهموقعیت برتر اطلاعاتی ناشران نسبت به سایر فعالان بازار سرمایه، کارآیی این بازار را تحت تأثیر قرار خواهد؛ زیرا تعهد به افشای اطلاعات بهعنوان یکی از عناصر تضمینکننده جهت ایجاد برابری میان ناشر و سایر فعالان شناخته میشود؛ ازاینرو ضرورت شفافیت اطلاعاتی یعنی دستیابی به اطلاعات مربوط به عملکرد دورهای، موقعیت مالی و فرصتهای سرمایهگذاری میباشد.روش: پژوهش حاضر ازنظر گردآوری اطلاعات به نحو روش توصیفی، تحلیلی و مقایسهای است. در این طرز تحقیقات سعی شده تا آنچه هست بدون هیچگونه دخالت یا استنتاج ذهنی گزارش داده شود و نتایجی عینی از موقعیت کسب گردد.یافتهها و نتایج: یافتههای این پژوهش بر مبنای مطالعه تطبیقی نظام حقوقی سه کشور دلالت بر آن دارد که برخلاف نظام حقوقی ایران که مبانی تعهد به افشای اطلاعات به دلیل نبود قوانین و رویه قضایی مشخص، تابع قواعد عمومی مندرج در قانون بازار اوراق بهادار و سایر قوانین میباشد، در حقوق آمریکا و انگلستان قانونگذاران از صدها سال پیش در قوانین مختلف به این موضوع پرداختهاند؛ ازاینرو حفظ حقوق سهامداران، نظم عمومی، حسن نیت، انصاف و اجتناب از سوءاستفاده مالی بهعنوان مهمترین مبانی تعهد به افشای اطلاعات در خصوص شرکتهای پذیرفتهشده در بازار اوراق بهادار شناخته میشوند.
Field and Aims: Most of the stock offering by publishers and their purchase by shareholders are in accordance with the principle of free will of the parties, but this freedom will affect the efficiency of this market due to the superiority of the publisher over other capital market participants. Sharing this procedure of information transparency means obtaining information related to the performance of the rounds, the financial status and the financial situation, the financial situation and the financial situation, etc.
Method: In terms of gathering information, the current research is descriptive, analytical and comparative. In this research, it is tried to report what is without any interference or subjective inference and obtain objective results from the situation.
Finding and Conclusion: The findings of this research, based on the comparative study of the legal systems of three countries, indicate that, unlike the legal system of Iran, where the principles of the obligation to disclose information due to the lack of specific laws and judicial procedures are subject to the general rules contained in the Securities Market Law and other laws, in American and English laws have dealt with this issue hundreds of years ago in different laws; Therefore, preserving the rights of shareholders, public order, good faith, fairness and avoiding financial abuse are known as the most important principles of the obligation to disclose information about companies admitted to the stock market.
