چکیده:
اصل 139 قانون اساسی ومادۀ 457 قانون آیین دادرسی مدنی، ارجاع دعاوی راجع به اموال عمومی و دولتی را منوط به تصویب هیئت وزیران و اطلاع مجلس کرده است. این اصل یکی از مناقشهآمیزترین اصول قانون اساسی است که در مسائل مختلفی همواره کانون اختلاف رویه قضایی و دکترین حقوقی بوده است؛ اما موضوعی که در این کشاکش با وجود اهمیت آن کمتر مورد توجه قرار گرفته، تعیین زمان مناسب تصویب هیئت وزیران یا مجلس است. سؤال اصلی این نوشتار آن است که زمان اخذ مجوز ارجاع دعاوی راجع به اصل 139 قانون اساسی هنگام انعقاد قرارداد پایه است یا موقع ایجاد اختلاف و قبل از رجوع به داوری یا حتی بعد از ارجاع به داوری و در حین انجام فرآیندهای آن تا مرحلۀ اجرای رأی؟ این نوشتار بر آن است با تشریح مفاهیمی ازحقوق خصوصی، ازجمله اذن و اجازه و عدم نفوذ و بطلان و عقدمعلق و عقد فضولی و عقد تشریفاتی و تبیین ارتباط مبنایی آنها با مقررۀ اصل 139 قانون اساسی و مفاهیم حقوق عمومی ناظر بر لزوم اجازۀ دولت پس از انعقاد قرارداد داوری و در مرحلۀ رسیدگی داوری یا اعتراض به رأی داور و حتی مرحلۀ دستور اجرای رأی داور، به تعیین زمان مناسب ارجاع دعاوی اموال عمومی و دولتی به داوری بپردازد. در این مقاله کوشش شده است تا بهگونهای توصیفیتحلیلی توجیه نماید که زمان اخذ مجوز ارجاع به داوری در دعاوی موضوع این اصل از هنگام ایجاد اختلاف تا آخرین مراحل فرایند داوری و اجرای رأی میباشد، نه هنگام انعقاد قرارداد.
The referral of claims regarding public and governmental properties to arbitration, according to the Principle of 139 of the Constitution and Article 457 of the Iranian Civil Rules of Procedure and Evidence, is subject to the ratification of the cabinet and information of the Islamic Majlis. This limitation has made some challenges, in particular, in the field of international trade and investment. One of the ways for overcoming these challenges is to know when to take the permission for referral of the claim to arbitration regarding properties mentioned in the Principle 139. The time of the conclusion of the contract or inclusion of arbitration clause in the contract is not significant. This article tried, in a descriptive-analytical method, to justify that the time of taking permission for referral of the claims stated in the Principle 139 to arbitration is from the happening of dispute to the final phase of arbitration process and the execution of the award not the time of the conclusion of the contract. در تحلیل و نقد رأی دیوان عدالت اداری و آرای شعب 27 دادگاه حقوقی و12 دادگاه تجدیدنظر استان تهران و نظریۀ عدم اخذ مجوز ارجاع موجب بطلان قرارداد است، باید دید آیا در اصل 139قانون اساسی رجوع به داوری ممنوع است یا محدود و مشروط به اخذ مجوز ارجاع از هیئت وزیران میباشد؟ نه از منطوق اصل مذکور و نه از مفهوم آن ممنوعیت دولت یا مؤسسههای عمومی از رجوع به داوری استنباط نمیشود؛ بلکه آنچه منطوق اصل 139 قانون اساسی بیان کرده، محدودیت و مشروطکردن ارجاع دعاوی راجع به اموال عمومی و دولتی به داوری است و این محدودیت نیز ناظر بر نوع مال موضوع قرارداد است نه طرف قرارداد،که نهاد یا سازمان دولتی یا مؤسسه عمومی باشد.
