چکیده:
بهطور سنتی پذیرفته شده است که حقوق نباید در گفتگوهای مقدماتی طرفین برای انعقاد قرارداد، دخالتی داشته باشد. این امر باعث میشود گفتگوهای مقدماتی، علیالاصول برای طرفین، دوران پرمخاطرهای محسوب شود. بر اساس نظریه مخاطرهآمیزبودن گفتگوهای مقدماتی، طرفین باید با درنظرداشتن احتمال عدم انعقاد قرارداد، گفتگوها را آغاز کنند و مخاطرات ناشی از ترک گفتگو توسط طرف مقابل را خود متحمل شوند. به مرور زمان مشخص شد که عدم دخالت حقوق در روابط پیشقراردادی، نتایج غیرمنصفانه و ناعادلانهای دارد که با هدف اجتماعی حقوق ناسازگار است. لذا حقوق امروزی، دخالت در گفتگوهای مقدماتی را پذیرفت. بر همین اساس، در اصول حقوق قراردادهای اروپایی و اصول اونیدروا برای قراردادهای بازرگانی بینالمللی، با ابتنای بر اصل حسننیت، تعهداتی برای طرفین گفتگوهای مقدماتی در نظر گرفته شده که نقض آن، موجب مسئولیت میشود. با دخالت حقوق در گفتگوهای مقدماتی و پذیرش مسئولیت در این مقطع، نظریه مذکور رو به افول گذاشته است.
It has been traditionally accepted that the law should abstain from interfering in the preliminary negotiations of the parties for contract formation procedure. This makes the preliminary negotiations a risky period. Based on venturesome theory of negotiations, the parties must begin negotiations considering the possibility of non-concluding the contract and bear the risks of leaving the negotiations by the opposing party. Over time, it became clear that non-interference of law in pre-contractual procedure causes unfair results and does not accommodate the social destination of contract. Therefore, modern law recognized the interference in preliminary negotiations. Accordingly, in the Principles of European Contract Law and UNIDROIT Principles of International Commercial Contracts, based on the principle of good faith, certain obligations are undertaken by the parties of the preliminary negotiations and that the breach of these obligations entails liability. This theory has been declining due to the intervention of law in preliminary negotiations and accepting liability at this stage.

بر همين اساس ، در اصول حقوق قراردادهاي اروپايي و اصول اونيدروا براي قراردادهاي بازرگاني بين المللي، با ابتناي بر اصل حسن نيت ، تعهداتي براي طرفين گفتگوهاي مقدماتي در نظر گرفته شده که نقض آن ، موجب مسئوليت مي شود.
به موجب اين نظريه ، هريک از طرفين بايد خطرات ناشي از به نتيجه نرسيدن گفتگوهاي مقدماتي را خود تحمل کند و نبايد از حقوق انتظار داشته باشد که در روابط پيش قراردادي دخالت کرده و طرف مقابل را به جهت خاتمه دادن به گفتگوها مسئول بداند.
