En effet, la continuation automatique applicable à l’ensemble des contrats en cours de la
société absorbée ou fusionnée se justifie par la nature spécifique des fusions dont l'effet majeur
est la transmission universelle du patrimoine. Toutefois, le concept de l'intuitu personae
caractérisant quelques contrats en empêche le transfert automatique.
Dans ce cadre, et face au mutisme du législateur en la matière et l'affrontement entre le
droit des contrats et le droit des sociétés, la continuation des contrats du bail commercial et du
cautionnement suscite d'épineux débats jurisprudentiels et doctrinaux.
