زمینه و هدف: حقوق اشخاص ثالث در معاملات شرکتهای سهامی از موضوعات مهمی است که نیازمند بحث و بررسی است. هدف مقالة حاضر بررسی حمایت از اشخاص ثالث در موارد نقض مقررات معاملات شرکت های سهامی در حقوق ایران و انگلیس است. مواد و روشها: مقاله حاضر توصیفی- تحلیلی است. مواد و دادهها نیز کیفی است و از فیش برداری در گردآوری مطالب و دادهها استفاده شده است. ملاحظات اخلاقی: در این مقاله، اصالت متون، صداقت و امانتداری رعایت شده است. یافتهها: هم در حقوق ایران و هم در حقوق انگلستان، قانونگذار به حمایت از حقوق اشخاص ثالث در معاملات شرکتهای سهامی همت گماشته است. در حقوق دو کشور، معاملات مدیران شرکت های سهامی با اشخاص ثالث، دارای اعتیار است. از این منظر، استناد شرکت به اینکه مدیر شرکت خارج از صلاحیت و اختیارات خود، اقدام به معامله با اشخاص ثالث کرده است، پذیرفته نیست. حمایت از حقوق اشخاص ثالث بهگونهای است که حتی اگر مدیر بدون طی قواعد شرکت انتخاب شده باشد و یا تاریخ مدیریت وی منقضی شده باشد و یا معاملة شرکت از سوی مجمع عادی آن نیز مورد تصویب قرار نگیرد باز هم معامله مدیر عامل با شخص ثالث معتبر است. نتیجه: ضمانت اجرای حمایت از حقوق اشخاص ثالث بر عهده کسانی است که اجازه چنین معاملهای را دادهاند که هیئت مدیره و مدیر عامل یا مدیران ذینفع را شامل میشود. آنها بهصورت تضامنی مسئولیت جبران خسارت وارده را برعهده دارند.
Background and Aims: The rights of third parties in the transactions of joint stock companies are important issues that need to be discussed. The purpose of this article is to examine the protection of third parties in cases of violations of the regulations of joint stock companies in Iranian and British law. Materials and Methods: This article is descriptive and analytical. The materials and data are also qualitative and data collection has been used. Ethical Considerations: In this article, the originality of the texts, honesty and trustworthiness are respected. Findings: Both in Iranian law and in English law, the legislator is committed to protecting the rights of third parties in the transactions of joint stock companies. In the laws of the two countries, the transactions of directors of joint-stock companies with third parties have atiyar. From this point of view, the company's claim that the manager of the company has made transactions with third parties outside of his competence and authority is not accepted. Conclusion: The guarantee of the implementation of the protection of the rights of third parties is the responsibility of those who authorized such a transaction, which includes the board of directors and the CEO or beneficial managers. They are jointly and severally responsible for the damages.
