لزوم و جواز عقود شرکت ناشی است از بنای عقلا، مبتنی بر مصلحت، و با حکم قانون مرتبط است و علی القاعده جنبۀ حکمی دارد نه جنبۀ حقی. به عبارتی دیگر، هرگاه عقود را صرف نظر از جنبه های عارضی و وضعیت های استثنایی آنها (از قبیل جعل و اشتراط خیار در عقود لازم) و بنابر طبع اولیۀ آنها لحاظ کنیم، لزوم و جواز جنبۀ «حکمی» دارند، هم از جنبۀ «تکلیفی» و هم از جنبۀ «وضعی»: یعنی در مورد عقود لازم مدلول عقد برای هر طرف لازم الاتباع است تکلیفا؛ و اعمال فسخ از جانب آنها بی تاثیر است وضعا؛ و در مورد عقود جایز، التزام و تعهد طرفین به هیچ وجه موجب لزوم عقد نمی شود و رابطۀ آنان در هر حال قابل فسخ است و این فسخ تکلیفا جزو مباحات بوده و وضعا واجد اثر است مثل وعدة نکاح که جواز آن با نظر به مصلحت طرفین، جوازی حکمی است.
