چکیده:
زمینه و هدف: امروزه با پیشرفت تکنولوژی و به منظور رعایت دو اصل سرعت و سهولت، در قراردادهای داخلی و بینالملل، بسیاری از شروط و لوازم قرارداد و معاملات اقتصادی در متن عقد ذکر نمیشود با اینحال تردیدی در ملتزم بودن طرفین به رعایت این شروط وجود ندارد از اینرو، اثبات اعتبار شرط تبانی و ضمانت اجرای آن مبتنی بر ثبوت خیار فسخ در صورت تخلف یا تعذر شرط، هدف این پژوهش میباشد. مواد و روشها: روش بکارگرفته شده در این پژوهش، توصیفی- تحلیلی میباشد. یافتهها: یافتههای پژوهش حاکی از آن است که اگرچه در میزان تاثیرگذاری شروط تبانی اختلاف نظر وجود دارد اما منشا اختلاف در زمینه اعتبار و عدم اعتبار این شروط به تبادر ناشی از معنای لغوی شرط و برخی روایات، بازمیگردد. ملاحظات اخلاقی: حفظ اصالت متون و امانتداری در نقل گفتار، از ملاحظات اخلاقی، این پژوهش است. نتیجهگیری: اولا: روایات استنادی مبنی بر عدم اعتبار شرط تبانی با اصول و قواعد فقهی مخالفت داشته و بر فرض صحت سند و دلالت باید تفسیر مضیق شود. ثانیا: اجماعی که ادعا شده اجماع منقول است و فاقد حجیت است. ثالثا: باوجود پیشرفت تکنولوژی و فناوری اطلاعات و استفاده از ابزارهای مکاتباتی و امکان ضبط مکالمات و مکاتبات تقریبا بحث دشواری اثبات شرط تبانی، منتفی است.
Background and Aim: Today, due to the advancement of technology and in order to comply with the two principles of speed and convenience, in domestic and international contracts, many terms and conditions of the contract and economic transactions are not mentioned in the text of the contract. The purpose of this research is to prove the validity of the collusion condition and the guarantee of its implementation. Methodology: The method used in this research is descriptive-analytical.Findings: The findings of a study that examined the views of one of the most prominent Imami jurists; Imam Khomeini (rah), and after explaining the concept of the condition and its relationship with the contract Conclusion: The main reasons for the invalidity of the collusion condition documented in the narrations are consensus and the difficulty of proving it. citation narrations based on the invalidity of the collusion condition are contrary to the principles and rules of jurisprudence and assuming the authenticity of the document and the meaning should be narrowly interpreted and should not be extended to all contracts as a general rule
