زمینه و هدف: هدف این پژوهش، تبیین رابطه میان ویژگیهای حاکمیت یا راهبری شرکتی بر احتمال تنیدگی مالی شرکتهای بورس اوراق بهادار تهران و تبیین نقش تعدیلگری تواناییهای مدیریت بر این رابطه است.
روششناسی: تعداد 107 شرکت از 6 صنعت طی سالهای 92 تا 96 مورد بررسی قرار گرفت. متغیرهای مستقل مرتبط با سنجش ویژگیهای حاکمیت شرکتی به دو دسته تقسیم شدند. ابتدا ویژگیهای مرتبط با هیئتمدیره شرکتها که خود به کمک دو متغیرهای اندازه هیئتمدیره و استقلال هیئتمدیره اندازهگیری میشوند و دوم ویژگیهای حسابرسی شرکتها است که با استفاده از متغیرهای اندازه حسابرس و نوع گزارش حسابرس مورد سنجش قرار گرفتهاند. دادهها با رویکرد مدلسازی معادلات ساختاری کمترین مربعات جزیی پی. ال. اس مورد بررسی قرار گرفتهاند.
یافتهها: یافتهها حاکی از آن است که ویژگیهای هیئتمدیره در سطح 10 درصد خطا بر احتمال تنیدگی مالی تأثیر منفی دارند و ویژگیهای حسابرسی در سطح 5 درصد خطا بر احتمال تنیدگی مالی تأثیر مثبت دارند. اما نقش تعدیلگری تواناییهای مدیریت بر این روابط مورد تأیید قرار نگرفت.
نتایج: نتایج این پژوهش نشانگر آن است که بهبود برخی از ویژگیهای حاکمیت یا راهبری شرکتی نظیر ویژگیهای هیئتمدیره شرکتها قادر به کاهش احتمال تنیدگی مالی شرکتهااست در حالیکه بهبود برخی دیگر از این ویژگیها، نظیر: بهبود ویژگیهای حسابرسی شرکتها، علیرغم انتظارات اولیه، نه تنها قادر به کاهش احتمال تنیدگی مالی نمیشوند بلکه تأثیر مخربی بر احتمال تنیدگی بر جای میگذارند.
Background and Objective: The purpose of this study is to investigate the relationship between governance characteristics or corporate leadership on the probability of financial stress on companies listed in the Tehran Stock Exchange and explaining the moderating role of management capabilities on this relationship. Methodology: 107 companies from 6 industries were surveyed during 1392 to 1396. Systematic elimination method was used for selecting statistical sample. Independent variables related to measuring corporate governance characteristics were divided into two categories. The first is the characteristics of the corporate board of directors, which are measured by the two variables of board size and board independence, and the second is the corporate audit characteristics that are measured using the auditor size variables and the type of auditor's report. The data were analyzed using the least squares structural equation modeling (PLS-SEM) approach. Findings: The findings indicate that board characteristics have negative effect on the probability of financial distress and that audit characteristics have positive effect on the likelihood of financial distress. But the moderating role of management abilities on these relationships was not acknowledged. Results: The results indicate that improving some of the characteristics of corporate governance or leadership, such as corporate board characteristics, may reduce the likelihood of corporate financial stress while improving some of these features, such as audit features, despite the initial expectations not only do not reduce the likelihood of financial distress but have devastating impact on the likelihood of distress.
