Abstract:
به علل مختلف از جمله اطاله دادرسی، هزینه بردار بودن و رضایی بودن ، شیوه های جایگزین حل و فصل اختلافات تجاری بین المللی، امروزه به طور عمده تر در حقوق تجارت بین الملل مورد نظر می باشد. در این راستا، هم اسناد سخت بین المللی هم چون کنوانسیون شناسایی و اجرای احکام داوری خارجی و هم اسناد نرم بین المللی هم چون کردارنامه داوران تجاری مورد پذیرش قرار گرفته است . این شیوه ها که عمدتا مبتنی بر تراضی طرفین بوده و درعینحال، نتیجه کار در غالب آنها الزام آور است . میانجیگری، سازش، مصالحه، مذاکره، رسیدگی کوتاه، ارزیابی بیطرفانه یا شبه کارشناسی از مهمترین این شیوههاست. کمهزینه بودن، سریع بودن، محرمانه بودن، انعطافپذیری، راه گشا و مؤثر بودن، آیندهنگر بودن، اقتصادی و محترمانه بودن، دقیق و کارساز بودن، غیر خصمانه بودن، ساده و غیررسمی بودن، رسیدگی موضوع از جانب متخصص و غیره از عمدهترین مزایای شیوههای مزبور است. الزامآور نبودن تصمیم حاصل از شیوههای مذکور و عدم قابلیت ارجاع برخی دعاوی به شیوههای جایگزین نیز از نقاط ضعف آن محسوب میشود. در حقوق ایران علیرغم سابقه دیرینه شیوههای جایگزین و وجود مقرراتی راجع به سازش و مصالحه، رجوع به این شیوهها مورد استقبال اصحاب دعوا قرار نگرفته است. ارجاع اختلاف به شیوههای مذکور گاه در قالب قرارداد مستقل و گاه به صورت شرط ضمن عقد اصلی انجام میپذیرد. شروط ارجاع ممکن است حاوی رجوع اختیاری اختلاف به این روشها باشد یا رجوع اجباری.
Different reasons, such as delaying proceedings, being cost-effective, and complacency, alternative methods of resolving international commercial disputes, are mainly considered in international trade law today. In this regard, both international hard documents such as the Convention on the Recognition and Enforcement of Foreign Arbitral Awards and international soft documents such as the code of conduct of commercial arbitrators have been accepted. These methods are mainly based on the agreement of the parties and at the same time, the result of the work is binding in most of them. Mediation, conciliation, negotiation, brief proceedings, impartial or quasi-expert assessment are the most important of these methods. Being low-cost, fast, confidential, flexible, open-ended and effective, forward-looking, economical and respectful, accurate and efficient, non-hostile, simple and informal, dealing with the issue by an expert, etc. are among the main advantages of these methods. It is mentioned. The non-binding decision resulting from the mentioned methods and the inability to refer some claims to alternative methods are also considered as its weaknesses. In Iranian law, despite the long history of alternative methods and the existence of regulations regarding compromise and conciliation, referring to these methods has not been welcomed by litigants. Referral of disputes to the aforementioned methods is sometimes done in the form of an independent contract and sometimes as a condition included in the main contract. The terms of reference may contain an optional reference to these methods
