تحلیل فقهی ـ حقوقی صحت یا عدم صحت شرکت مفاوضه در فقه مذاهب اسلامی Journal Article

فقهای مذاهب مختلف اسلامی، با توجه به ترکیب و نوع آورده‌‌ها، انواع شرکت را به چهار دسته عنان، اعمال، وجوه و مفاوضه تقسیم نموده‌‌اند. در مورد تعریف، آثار و احکام این شرکتها، اختلاف‌‌نظرات اساسی میان فقهای مذاهب مختلف اسلامی وجود دارد. با توجه به اختلاف دیدگاههای فقهی، حقوقی و سکوت قانون مدنی، دامنه این اختلاف‌‌نظرات، به صحت یا عدم صحت شرکت مفاوضه نیز کشیده شده است. موافقان صحت شرکت مفاوضه به دلایلی چون وجود برخی احادیث، اجماع سکوتی، شباهت ماهیت اصلی این شرکت با دو عقد مُجاز شرعی کفالت و وکالت و تأکید دین مبین اسلام بر مشارکت و تعاون تمسک می‌‌جویند. در مقابل، مخالفان صحت شرکت مفاوضه به دلایلی چون عدم وجود دلیل صریح شرعی در مورد صحت این شرکت، غرری‌‌بودن و اجماع اشاره نموده‌‌اند. در این مقاله با نگاهی تطبیقی به مذاهب مختلف اسلامی و با تأکید بر کتب فقهی فقهای امامیه و با بهره‌‌مندی از روش تحلیلی توصیفی، بعد از تعریف شرکت مفاوضه، با تجزیه و تحلیل دلایل موافقان و مخالفان صحت این شرکت، با تأکید بر پاسخهای حلّی و نقضی که به دلایل مخالفان و موافقان صحت شرکت مفاوضه داده می‌‌شود، در نهایت این نتیجه حاصل می‌‌گردد که با توجه به سکوت قانون و علی‌‌رغم نظر مخالف برخی فقها، با عنایت به نظر فقهایی چون طوسی، شهید ثانی و مفید، شرکت مفاوضه در معنای مشهور آن در فقه امامیه و به دنبال آن با توجه به اصل چهار و اصل صدوشصت‌‌وهفت قانون اساسی در حقوق کنونی ایران باطل است.

Jurisprudents of different Islamic schools of thought, according to the type and combination of raised capital, have divided the types of partnership into four categories: ‘Inan, A‘mal, Mufawadha and Wujuh. Regarding the definition, effects and rulings of these kinds of partnerships, there are fundamental differences of opinion among the jurists of different Islamic schools. Due to the difference of jurisprudential and legal views and the silence of the civil law, the scope of these differences of opinion has also been extended to the authenticity or inauthenticity of Mufawadhah partnership. Those in favor of the correctness of the Mufawadhah partnership insist on reasons such as the existence of some hadiths, silent consensus, the similarity of the main nature of this kind of partnership with the two legally permissible contracts of sponsorship and representation, and the emphasis of the Islamic religion on participation and cooperation. On the other hand, the opponents of the validity of the Mufawadhah partnership have pointed to reasons such as the absence of an explicit Shariah reason about the validity of this company, arbitrary and consensus. In this article, with a comparative look at different Islamic schools of thought and with an emphasis on the jurisprudence books of Imami jurists and with the benefit of a descriptive analytical method, after defining the Mufawadhah partnership, by analyzing the reasons for and against the validity of this kind of partnership, with an emphasis on the answers, the solution and the violation that is given for the reasons of the opponents and supporters of the validity of the Mufawadhah partnership, in the end, the result is obtained that according to the silence of the law and despite the opposing opinion of some jurists, according to the opinion of jurists such as Tusi, Shahid Sani And Mofid, participating in negotiation in its famous meaning in Imami jurisprudence and following it according to Article 4 and Article 167 of the Constitution is invalid in the current laws of Iran.

تحليل نظرات موافقين و مخالفين صحت شرکت مفاوضه همانند آنچه پيرامون شرکت وجوه و شرکت اعمال گفته شده است (بيهقي کيدري، ١٣٧٤ش ، ٢٥٩؛ ابن قدامه ، ١٤١٧ق ، ١٢١/٧؛ شهيد ثاني، ١٤١٠ق ، ٣٤٨/٧؛ مقدس اردبيلي، ١٤٠٣ق ، ١٩٣)، درباره صحت يا عدم صحت شرکت مفاوضه نيز بين فقهاي مذاهب مختلف اسلامي، اختلاف نظر وجود دارد، اختلاف نظراتي که به علت سکوت قانون به دکترين حقوقي نيز راه يافته و رويه قضايي در محاکم دادگستري نيز از آن بيبهره نمانده است . ٢. تجزيه و تحليل نظر مخالفين صحت شرکت مفاوضه در ديدگاه بسياري از فقهاي اسلامي، شرکت مفاوضه در معناي مشهور آن ، شرکتي باطل به حساب ميآيد، به گونه اي که بسياري از فقها به صراحت به اين موضوع در کتب فقهي خويش اشاره نموده اند و بر اين اعتقادند که چون اين عقد باطل است ، فاقد هرگونه اثر است ، بنابراين هر يک از طرفين قرارداد، مالک آن چيزي است که به دست آورده و از سوي ديگر مسئول پرداخت بدهيهاي خويش نيز هست و هيچ شراکتي در مورد طلبها و بدهيها بين آنها به وجود نميآيد (ابن قدامه ، ١٤١٧ق ، ١٣٧/٧؛ حکيم ، ١٤٠٤ق ، ٢٢/١٣؛ طباطبايي قمي، ١٤٢٦ق ، ٥١٥/٨؛ طباطبايي يزدي، ١٤١٠ق ، ٥٢٣/٢).
