Abstract:
تحقیقاً قانون تجارت ضمانت عادی را اصل و ضمانت تضامنی را استثنا می‌داند. در این باره، گرچه هر ضمانتی مسئولیت است؛ هر مسئولیتی ضمانت نیست. ضمانت تضامنی مطلق یا نسبی بوده و اصولاً در روابط مضمون‌عنه و ضامنان همچنین میان ضامنان غیرترتبی است. ضمانت ترتبی (طولی) باشد یا غیرترتبی (عرضی)، با حال شدن دین مضمون‌عنه در اثر فوت یا ورشکستگی، دین ضامن حال نمی‌شود ولی او حق پیدا می‌کند مضمون‌له را وادار به دریافت طلب خود یا صرفنظر از آن نماید. قانون تجارت در اقدامی جسورانه ضمانت تعهد را مطرح و احکام آن را دقیقاً نظیر احکام ضمانت دین دانسته است. قرارداد ارفاقی در قانون تجارت و ضمان عهده در قانون مدنی مصادیق اجلای قانونی ضمانت تعهد به‌نظر میرسند. علیرغم ضمان عادی، در ضمان تضامنی وثیقه‌های دین یا تعهد با پرداخت بدهی یا انجام تعهد به ضامن منتقل می‌شود تا او با اتکاء به آن، پرداختی خود یا معادل تعهد انجام شده را از مضمون‌عنه وصول کند. این امر رهن رهن نیست بلکه انتقال رهن است و در آن انتقال به‌صورت خود بخود انجام می‌شود و مضمون‌عنه در این مورد موظف به همکاری است. در واقع، در بحث از ضمان تضامنی، قانون تجارت احکام تعدد متعهد را بیان کرده است.
Certainly, the Commerce Act deems guarantee contract as principal and suretyship as exception. In this respect, although every suretyship is a responsibility but every responsibility is not a suretyship. Suretyship is divided into definite and proportional and principally between debtor and sureties also among sureties suretyship is horizontal. Whether suretyship is vertical or horizontal, surety’s debt would not due with principle debt becoming due with debtor's death or bankruptcy, but, he gains right to compel creditor to take his debt or withdraw from it. The Commerce Act in a courageous endeavor has set before the pledge suretyship and has put that’s regulations as same as the debt suretyship's regulations. The arrangement contract in Commerce Act and the undertaking's guarantee in Civil Act seem as pledge suretyship's clear statutory samples. Despite in normal guarantee, in suretyship debt's or pledge's mortgages would not return with debt’s payment or pledge’s accomplishment. It remains with surety to relying on receive his paid amount or accomplished pledge's equivalent. This is not mortgage's mortgage but mortgage's transfer and in which transfer takes place automatically. So, debtor is required to cooperate for the purpose. In fact, at regulating suretyship, Commerce Act has inserted the pledger’s plurality rules.
