Abstract:
عقد معلق، عقدی است که تاثیر آن بر حسب انشا موقوف بر امر دیگری باشد و شرط فاسخ، شرطی است که انحلال عقد را موکول به امری میکند. علیرغم وحدت ماهیت تعلیقی این دو نهاد، تمایز موضوع تعلیق آنان سبب شده تا احکام و آثار متفاوتی داشته باشند. در این مقاله، ضمن بیان تعریف و احکام کلی تعلیق در انعقاد و انفساخ قرارداد، تفاوت این دو نهاد از حیث احکام و آثار، با تاکید بر دیدگاه امام خمینی، مورد مطالعه قرار گرفته است. در این نوشتار، نشان داده خواهد شد که بنظر امام خمینی، چون تعلیقِ ایجاد عقد نسبت به انشای آن انجام میگیرد، تا پیش از وقوع معلقعلیه، عقدی ایجاد نشده، هیچگونه تعهدی بوجود نمیآورد و ملکیتی را منتقل نمیسازد. ولی در تعلیق انفساخ قرارداد، ابتدا عقد کاملی شکل میگیرد، اما با وقوع معلق-علیه، عوضین به مالکان پیشین خود باز میگردند. بنابراین، مالکان، در عقد معلق، حق هرگونه تصرف در مال خویش را خواهند داشت، لیکن در عقد مشروط به شرط فاسخ، منتقلالیه مکلف به حفظ موضوع معامله است. هرچند تخلف از این حکم تکلیفی، اثر وضعی ندارد.
A contract may be made conditional upon the occurrence of an event, so that the contract only takes effect (suspensive condition) or comes to an end (resolutive condition) if the event occurs. Despite the unity of the conditional nature, the distinction between the subject of their suspension has caused them to have different rulings and effects. In this article, while stating the definition and general rules of suspensive and resolutive condition, the difference between them in rules and effects, with emphasis on the view of Imam Khomeini, has been studied. it will be shown that according to Imam Khomeini, since the suspensive contract is made in relation to its composition, no contract is made before the occurrence of the condition, it does not create any obligation and does not transfer property. However, in the resolutive condition, a full contract is formed, but with the occurrence of the condition, the considerations return to their previous owners. Therefore, the owners will have the right to take possession of their property in the suspended contract, but in resolutive condition, the transferor is obliged to keep the subject of the transaction. However, violation of this mandatory sentence has no status effect.
